Terms of Service

By using Noise, you acknowledge that you have read, understood, and agree to these terms.

1. Definitions

• "Noise" or "Noise App": The iOS application and iMessage extension.
• "Noise Tile": The proprietary visual representation of an audio clip within the App, consisting of a tile image, title, and metadata arrangement.
• "User Content": Audio recordings created or imported by users through the App.
• "App Group": The shared local storage container on the user's device.

2. Intellectual Property Rights

2.1 User-Owned Content

You retain full ownership of your raw audio recordings. Any audio you record, import, or create through the App remains your intellectual property. We do not claim any ownership rights over your original audio content.

2.2 Platform-Owned Elements

The following elements are the exclusive intellectual property of the developer:

• Noise Tile System: The proprietary arrangement, visual design, and presentation of audio clips as interactive "Noise Tiles"
• Metadata Structure: The underlying data schema, organization, and transmission protocols
• Application Logic: All code, algorithms, state machines, and technical implementations
• Visual Design System: Color palettes, typography, iconography, animations, and UI/UX patterns
• Brand Assets: The "Noise" name, logo, and associated trademarks

2.3 Derivative Works

When you create a Noise Tile by combining your audio with the App's presentation system:

• You own the underlying audio
• We own the presentation format and metadata structure
• The composite "Noise Tile" exists under a shared license allowing both parties their respective rights

3. Privacy Policy

Your privacy is important to us. Please review our Privacy Policy, which explains our local-first architecture and how we handle your data.

4. User License Grant

4.1 License to Process

By using the App, you grant us a limited, non-exclusive, royalty-free license to:

• Process your audio locally on your device for playback and encoding
• Transmit your Noise Tiles through Apple iMessage when you initiate sending
• Store your content in the App Group container on your device

4.2 License Limitations

This license:

• Does not grant us rights to use your content for advertising or training
• Does not allow us to access your content remotely
• Terminates immediately upon your deletion of the content or the App

4.3 iMessage Extension Functionality

You understand and agree that:

• Sending a Noise transmits audio data through Apple's messaging infrastructure
• Recipients can play, save, and re-share received Noises
• You are responsible for ensuring you have rights to any content you share

5. Liability Disclaimers

5.1 User-Generated Content

You are solely responsible for content you create, import, or share. You represent that:

• You own or have the right to use any audio you record or import
• Your content does not infringe third-party copyrights, trademarks, or other rights
• Your content does not violate applicable laws or regulations

5.2 Private Communications

The App facilitates private communications via iMessage. We:

• Cannot monitor or moderate content sent between users
• Are not responsible for how recipients use received Noises
• Recommend users exercise judgment when sharing audio

5.3 No Warranty

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

5.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE DEVELOPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP.

6. Content Guidelines

6.1 Prohibited Content

Users may not create or share Noises containing:

• Content depicting or promoting harm to minors
• Hate speech targeting protected classes
• Extreme violence or gore
• Illegal content or credible threats
• Content infringing valid copyrights

6.2 Enforcement

As a local-first app, we cannot proactively monitor content. However:

• Apple may enforce its own content policies on iMessage
• We reserve the right to remove app access for users who violate these terms
• Future versions may include optional reporting mechanisms

7. Changes to Terms

We may update these terms periodically. Continued use of the App after changes constitutes acceptance. Significant changes will be communicated through app updates.
